We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Site. Your continued use of the Site following any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

The Site provides a wholesale product catalogue for informational purposes only. All product listings, descriptions, certifications, and specifications displayed on the Site are provided in good faith but are subject to change without notice.

No prices are displayed on the Site. All pricing is provided exclusively through our quotation process. Submitting a quotation request does not constitute a binding order or contract. A binding purchase agreement is only formed upon our written acceptance of your order and issuance of a formal invoice or order confirmation.

Minimum order quantities (MOQs) apply to all products and are indicated in our catalogue and quotation responses. We reserve the right to decline any quotation request at our sole discretion.

Product availability, lead times, and specifications are subject to change. We make no guarantee that any product listed on the Site will be available at the time of your order.

You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of others or restrict or inhibit their use and enjoyment of the Site. Prohibited conduct includes, but is not limited to:

Submitting false, misleading, or fraudulent quotation requests or contact form submissions.

Attempting to gain unauthorised access to any part of the Site or its related systems.

Using automated tools, bots, scrapers, or crawlers to extract data from the Site without our prior written consent.

Transmitting any material that is defamatory, offensive, or otherwise objectionable.

We reserve the right to restrict or terminate access to the Site for any user who violates these Terms.

All content on the Site, including but not limited to text, product descriptions, images, logos, graphics, icons, and the overall design and layout, is the property of E-Shop Enterprises LLC or its content suppliers and is protected by applicable copyright, trademark, and other intellectual property laws.

The E-Shop Enterprises name, logo, and all related marks are trademarks of E-Shop Enterprises LLC. You may not use any of our trademarks without our prior written consent.

You are granted a limited, non-exclusive, non-transferable licence to access and use the Site solely for the purpose of evaluating our products and submitting quotation requests. This licence does not permit you to reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any content from the Site.

Any feedback, suggestions, or ideas you submit to us regarding the Site or our products may be used by us without restriction or compensation to you.

THE SITE AND ALL CONTENT, PRODUCTS, AND SERVICES MADE AVAILABLE THROUGH IT ARE PROVIDED ON AN 'AS IS' AND 'AS AVAILABLE' BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or reliability of any content on the Site.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, E-SHOP ENTERPRISES LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR THESE TERMS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE EXCEED ONE HUNDRED US DOLLARS (USD $100.00).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.

You agree to indemnify, defend, and hold harmless E-Shop Enterprises LLC and its officers, directors, employees, agents, and suppliers from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Site; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any content you submit through the Site.

The Site may contain links to third-party websites or resources. These links are provided for your convenience only. We have no control over the content of those sites and accept no responsibility for them or for any loss or damage that may arise from your use of them. Linking to a third-party site does not imply our endorsement of that site or its content.

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site, the parties agree to first attempt to resolve the matter through good-faith negotiation. Either party may initiate this process by providing written notice to the other describing the dispute in reasonable detail.

If the dispute is not resolved through negotiation within thirty (30) days of the written notice, either party may pursue resolution through binding arbitration administered under the rules of the American Arbitration Association (AAA), with proceedings conducted in English in the State of Florida.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm pending the outcome of arbitration.

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States of America, without regard to its conflict of law provisions.

For any matters not subject to arbitration under Section 9, you consent to the exclusive jurisdiction of the state and federal courts located in the State of Florida. E-Shop Enterprises LLC also maintains operations in Texas; however, Florida law governs these Terms.

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable.

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision unless acknowledged and agreed to by us in writing.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and E-Shop Enterprises LLC with respect to your use of the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.
